Brightflag
Building investor belief as an enterprise legal operations platform scaled.

The context
Brightflag was building an AI-powered platform to bring transparency, control, and intelligence to corporate legal spend, a mission-critical but conservative enterprise market. Legal departments are risk-aware buyers, sales cycles are long, and the category itself was still forming. As the business scaled, its capital needs evolved from early validation to enterprise expansion and later strategic readiness. The challenge was not raising capital in isolation but being positioned correctly at each stage to earn belief from top tier investors while preserving long-term enterprise value.
The contribution
We worked closely with Brightflag across its growth journey, evolving how the business was positioned and perceived as it matured and aligning capital strategy to each phase of scale.
In the early stages, Brightflag was positioned as a foundational platform for legal operations rather than a narrow analytics or cost-management tool. This framing supported seed investment from SaaS-focused investors and early enterprise adoption.
As customer traction accelerated, the narrative evolved to emphasise recurring revenues, mission-critical deployment within large enterprises, and category leadership. This positioning enabled larger institutional venture rounds to support product depth, enterprise sales, and international expansion.
Later, as the platform matured and revenues became more predictable, the business was repositioned for growth equity and structured capital. This reinforced its institutional credibility, supported continued scale, and preserved strategic flexibility.
At each stage, access was shaped around aligned SaaS, growth, and institutional capital partners, ensuring funding decisions strengthened credibility, scale, and optionality.
The outcome
Through a positioning-led capital approach, Brightflag progressed through multiple phases of growth with capital structures aligned to its maturity at each point. This resulted in the successful raising of:
• $1.5m seed capital from Frontline Ventures, Tribal VC, and Enterprise Ireland
• $8.5m Series A led by Sands Capital Ventures, with Frontline Ventures and Tribal VC
• $28m Series B led by One Peak Partners, with Sands Capital Ventures, Frontline Ventures, and Tribal VC
• Venture debt from institutional lenders, undisclosed
This disciplined capital journey established Brightflag as a category-defining legal operations platform and ultimately supported a €425m acquisition by Wolters Kluwer, delivering a strong outcome for founders and investors.
